By accessing or using FlipPnL™ (flippnl.com) and its calculating utilities, tools, and local session features (the "Service"), you acknowledge that you have read, understood, and agreed to be bound by these Terms. If you do not agree, do not use the Service.
2. Informational & Educational Utility Only (No Financial Advice)
FlipPnL™ is provided solely as an informational and mathematical modeling utility for educational purposes. FlipPnL™ is not a certified public accountant, financial advisor, or tax consultancy. Actual marketplace fees (Amazon, eBay, Mercari), payment processing rates, and logistics surcharges vary dynamically. You assume sole responsibility for verifying figures before making real-world inventory purchases or commercial commitments.
3. Client-Side Architecture & Local Storage Disclaimer
FlipPnL™ operates 100% client-side in your browser. Any calculations or leads logged via the Sourcing Scratchpad are stored exclusively on your device using browser localStorage. FlipPnL™ does not run central databases or maintain remote backups of your session logs. You acknowledge and agree that:
- Clearing your browser cache, using incognito mode, updating your browser, or reaching device storage capacity may permanently erase your saved leads.
- FlipPnL™ is not responsible or liable for any loss, corruption, or inability to recover data stored in your local browser cache.
- You are solely responsible for routinely using the CSV Export feature to maintain external backups of your data.
4. Disclaimer of Warranties ("AS IS")
The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not warrant that calculations will be error-free or uninterrupted, or that output will correspond exactly with settlement statements.
5. Limitation of Liability
To the maximum extent permitted by applicable law, in no event shall FlipPnL™, its creators, operators, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages—including without limitation lost profits, commercial inventory losses, loss of data, or hardware storage exhaustion—arising out of or related to your use of or inability to use the Service.
6. Governing Law and Jurisdiction
These Terms and your access to and use of the Service shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law principles. Any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the competent state or federal courts located within the State of New York, and you irrevocably submit to the personal and exclusive jurisdiction of such courts.

Amazon, eBay, and Mercari are registered trademarks of their respective owners. FlipPnL™ is an independent calculating utility and is not endorsed by, sponsored by, or affiliated with Amazon.com, Inc., eBay Inc., or Mercari, Inc.
